Abstract
Predmet ovog rada je analiza procesa financiranja preuzimanja, spajanja i pripajanja poduzeća, odnosno strategije strukturiranja, pripreme, provođenja i zaključenja akvizicije druge tvrtke. U posljednjem desetljeću su spajanja i akvizicije, uz strateške saveze, najzastupljeniji oblik poslovanja, a kroz ovaj rad će se istražiti koliko su određena poduzeća i njihov menadžment prepoznali važnost spajanja i akvizicija te koliko su uspješni u tome. Prvi dio rada obrađuje pojam akvizicije, koji su razlozi te ciljevi spajanja i pripajanja poduzeća, metode i načine procjene vrijednosti poduzeća, gdje se ukazuje i na mogući rizik. Vrlo je bitno odabrati što efikasniju metodu procjene poduzeća čija točnost ovisi o velikom broju čimbenika te svaka od njih ima svoje prednosti i nedostatke što će se vidjeti nastavno u tekstu. Nadalje, financiranje akvizicije omogućava korisnicima da ispune svoje trenutne težnje za akvizicijom pružajući neposredne resurse koji se mogu primijeniti na transakciju. U drugom dijelu rada obrađuju se uspješno i neuspješno preuzimanje poduzeća gdje se analiziraju metode preuzimanja na konkretnim primjerima na temelju kojih se može vidjeti zašto se uopće krenulo u proces preuzimanja.
Abstract (english)
The subject of this thesis is the financing and of takeovers, merger and acquisitions, in fact the strategy of structuring, preparing, implementing and concluding the acquisition of another company. In the last decade, mergers and acquisitions, along with the strategic alliances, are the most common form of business, and this paper will explore how certain companies and their management have recognized the importance of mergers and acquisitions and how successful they are. The first part of this thesis deals with the concept of acquisition, what are the reasons and objectives of mergers and acquisitions, methods and was of assessing the value of the company, where the possible risk is indicated. It is important to choose the most efficient method of assessing companies whose accuracy depends on a big number of factors, and each of them has its advantages and disadvantages, which will be seen later in the text. Furthermore, the financing of the acquisitions enables the users to fulfill their current aspirations for the acquisitions by providing immediate resources that can be applied to the transaction, which are the resources, sources of funding are addressed in the paper. The second part of the paper deals with successful and unsuccessful takeovers of companies, where the methods of takeovers are analyzed on concrete examples based on which it is possible to see why the takeover process started.
